DEVELOPMENT AGREEMENT (UNION ROW) THIS DEVELOPMENT AGREEMENT (this “Agreement”) is made and entered into as of December 30, 2020 (the “Effective Date”), by and between MEMPHIS CENTER CITY REVENUE FINANCE CORPORATION, a public nonprofit corporation organized under Tenn. Code Ann. §§ 7-53-101, et seq. (“CCRFC”) and UNION ROW LB LLC, a Delaware limited liability company, a wholly owned subsidiary of THE WALK MEMPHIS QOZB, LLC, f/k/a “UNION ROW CO-GP JV, LLC,” a Delaware limited liability company, (the “Developer”).
